1.          GENERAL TERMS & WEBSITE OPERATIONS

Welcome to BG Organics ("Company," "we," "us," or "our"). These Master Terms of Service and Site Policies govern your access to and use of our website, digital platforms, and commercial supply operations. By browsing our website, submitting an order online or offline, or entering into a supply agreement with BG Organics, you agree to be bound by these unified terms.

1.1       Acceptance & Eligibility

By accessing our website or purchasing products, you represent that you are at least 18 years of age and possess the legal capacity to enter into binding commercial contracts. If you are placing orders on behalf of an enterprise or business entity, you warrant that you possess full legal authority to bind that organization to these terms.

1.2       Intellectual Property

All content, trade names, product specifications, images, logos, graphics, software, and technical documentation on this platform are the exclusive property of BG Organics or its licensed suppliers. Unapproved reproduction, distribution, or commercial exploitation of any material without explicit written permission is strictly prohibited.

FDA Compliance & Health Disclaimer

Statements made on this website or in promotional technical materials regarding our organic ingredients, botanical extracts, or raw food components have not been evaluated by the U.S. Food and Drug Administration (FDA). Our products are provided as raw ingredient inputs and are not intended to diagnose, treat, cure, or prevent any medical condition or disease.

2.1       Natural Variation & Specifications

As suppliers of natural and certified organic agricultural products, BG Organics acknowledges that physical and analytical characteristics (including color, mesh size, density, aroma, and moisture content) may vary naturally between crop yields, harvests, and production lots. While Technical Data Sheets (TDS), Certificates of Analysis (COA), and product samples represent typical production standards, reasonable agricultural variations do not constitute product defects.

2.2       Buyer Quality Verification & End-Use Responsibility

Buyers are solely responsible for verifying that purchased ingredients meet all regulatory, dietary, labeling, and safety requirements applicable to the Buyer’s finished goods or target distribution markets. BG Organics guarantees initial compliance with mutually agreed written specifications upon shipment but accepts no liability for final commercial formulations or secondary manufacturing processed by the Buyer.

3. COMMERCIAL & PAYMENT TERMS (ONLINE & B2B)

3.1       Ordering & Pricing

All prices, quotes, and product availability are subject to change without prior notice prior to formal order confirmation. BG Organics reserves the right to accept, reject, or cancel any order—including after order submission—due to stock shortages, raw material pricing surges, obvious typographical errors, or suspected unauthorized transactions.

3.2       Payment Terms & Credit Lines

           Standard E-Commerce & Retail Orders: Must be prepaid in full using credit/debit card, ACH, or electronic bank transfer prior to order fulfillment and dispatch.

           B2B & Wholesale Accounts: Approved commercial accounts operate under agreed payment terms (e.g., Net 30 days from invoice date). Credit terms are extended at BG Organics' sole discretion and may be adjusted or revoked at any time.

           Overdue Balances: Payments not received by the due date are subject to a late service charge of 1.5% per month (18% per annum) or the maximum rate allowed by law, calculated daily on all outstanding balances.

3.3       Shipping, Title, and Risk of Loss

Unless otherwise agreed in writing (e.g., specific Incoterms such as FOB Origin or FCA Warehouse), title and risk of loss pass to the Buyer upon delivery of goods to the carrier or pickup by the Buyer's designated freight service. BG Organics is not responsible for transit delays, customs clearance holds, or carrier mishandling once the shipment leaves our facility.

4.          FULFILLMENT, STORAGE & CLAIM POLICIES

4.1       Storage Fee Policy

To ensure efficient warehouse operations and inventory turnover, the following storage terms apply to all orders staged for customer pickup or designated delivery schedules:

           Free Grace Period: Buyers receive a grace period of 10 business days from the date of formal notification that goods are ready for pickup or dispatch. No storage fees accrue during this grace period.

           Customers are responsible for storage charges when products remain at our facility beyond the agreed-upon pickup or shipping date. Specific rates and terms may vary based on the customer's agreement and/or order terms. If goods remain unclaimed beyond the applicable grace period, BG Organics may provide written notice to the customer and, if the goods remain unclaimed after the notice period, reserves the right to sell, transfer, or otherwise dispose of such goods.

           Unclaimed Inventory & Risk: Stored goods past the grace period remain entirely at the Buyer's risk. BG Organics is not liable for inventory deterioration, damage, or loss beyond standard care practices. Unclaimed goods may be relocated or managed at the Buyer's expense following written notification via email. Storage fees are invoiced monthly under standard payment terms.

4.2       Damage & Shortage Claim Policy

Customers must strictly adhere to the following claim process for damaged, missing, or shorted shipments:

           Immediate Inspection: Goods must be inspected immediately upon receipt. Any visible damage, broken packaging, or quantity discrepancies must be noted directly on the delivery receipt (Bill of Lading) before signing. Do not dispose of damaged packaging or products, as freight carriers may require physical inspection.

           Reporting Deadline: Claims must be submitted in writing within 5 business days of delivery receipt. Claims submitted past this window are deemed accepted as delivered and are ineligible for credit or replacement.

           Required Submission Documents: All claims must include a completed Customer Complaint Form, order/invoice number, detailed description of damage or shortage, clear photos of damaged goods/pallets, and a copy of the signed delivery receipt noting the exception.

5.          PRIVACY GOVERNANCE & COOKIE MANAGEMENT

5.1       Information Collection & Usage

BG Organics collects personal and corporate data necessary to perform business transactions and deliver services. This includes contact details (names, business emails, phone numbers), billing/shipping addresses, corporate tax documentation, and standard digital metadata (IP addresses, browser details, page interaction metrics collected via cookies).

Data is used exclusively to process orders, fulfill legal tax requirements, manage customer accounts, provide customer support, and communicate essential transactional or product updates. We do not sell or rent personal data to third-party brokers.

5.2       Data Sharing & Service Providers

We share operational data only with trusted third-party providers strictly necessary to execute core business functions— including freight carriers, payment processors, cloud hosting platforms, and accounting systems. All third parties are legally obligated to maintain data confidentiality and security.

5.3       Cookie Policy & Direct Communication

Our website utilizes essential functional cookies to ensure secure checkout and session management, alongside optional analytical cookies to assess site performance. Users can adjust browser preferences to decline non-essential cookies. Marketing emails include an immediate opt-out link in compliance with CAN-SPAM regulations.

6.          FORCE MAJEURE & GOVERNING LAW

Force Majeure: BG Organics shall not be held liable for failure or delay in fulfilling supply obligations resulting from acts of God, extreme weather events, crop failure, war, terrorism, labor strikes, transportation disruptions, or government restrictions beyond our reasonable control.

Governing Law: These terms and any commercial disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any legal action shall be brought exclusively in state or federal courts located in Dallas County, Texas.
